“RESOLVED THAT the following directors/CFO/officials of the Company be and are hereby severally authorised to execute, sign and file applications, forms, undertakings, returns, and other documents and to deal with appropriate authorities for ensuring statutory compliance under various statutes including Central Excise Act, Customs Act, Central Goods and Services Tax Act, Integrated Goods and Services Tax Act, Union Territory Goods and Services Tax Act(s), Sales Tax Act(s), VAT Act(s), Shops & Establishment Act, Income Tax Act, Wealth Tax Act, Professional Tax Act, Employees’ State Insurance Act, Employees’ Provident Funds & Miscellaneous Provisions Act, Payment of Wages Act, Payment of Bonus Act, Pollution Laws, Factories Act and all other Laws & Acts and rules made thereunder relating to Human Resources, Personnel & Labour and taxation as may be applicable to the Company.
RESOLVED FURTHER THAT the above-named directors/officials be and are hereby authorized severally to approach various statutory and /or government authorities and/or any other authorities in connection with the compliance of statutory requirements under the above-mentioned laws for and on behalf of the Company.
RESOLVED FURTHER THAT the above-named directors/officials be and are hereby authorized severally to appear, submit, sign and receive the documents in the Courts/appropriate authorities on behalf of the Company and to do all such things, acts, deeds, etc. as may be required by such authorities in relation to the Company.
RESOLVED FURTHER THAT a certified true copy of the resolution be submitted wherever needed under the signature of any Director or the Company Secretary of the Company.”
